By accessing or using Homard Cloud ("the Service"), operated by Homard Cloud ("we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not access or use the Service. Your continued use of the Service following the posting of any changes to these terms constitutes acceptance of those changes. These Terms constitute a legally binding agreement between you and Homard Cloud.
Homard Cloud is a software-as-a-service (SaaS) platform that provides infrastructure for deploying AI assistant bots powered by OpenClaw, an independent open-source project. The Service enables connection to various messaging platforms including WhatsApp, Telegram, Slack, Discord, Signal, and Microsoft Teams. We act solely as a technology platform provider and hosting service. We do not control, monitor, or review the content of conversations between users and their deployed AI assistants. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice, and without liability to you.
To use the Service, you must create an account and provide accurate, complete, and up-to-date information. You are solely responsible for maintaining the confidentiality of your account credentials, API keys, bot tokens, and any other authentication credentials associated with your account or deployed instances. You are fully responsible for all activities that occur under your account, including the actions of any third parties with whom you share access. You must immediately notify us of any unauthorized use of your account. You must be at least 18 years old to create an account. We reserve the right to suspend or terminate accounts that contain false or misleading information or that violate these Terms.
Certain features of the Service require a paid subscription. All payments are processed securely through Stripe, a third-party payment processor, and are subject to Stripe's terms of service. Subscriptions automatically renew at the end of each billing cycle (monthly or yearly) unless cancelled before the renewal date. Prices are listed in US dollars and are subject to change with 30 days' prior notice. No refunds will be issued for partial billing periods, unused features, downtime, or service interruptions. If a payment fails, we may suspend or terminate access to paid features until the outstanding balance is resolved. You are responsible for any applicable taxes. Fees for third-party AI model usage may vary based on your selected routing tier and actual usage.
You agree to use the Service in compliance with all applicable laws, regulations, and third-party terms of service (including those of messaging platforms). You are solely responsible for ensuring your use complies with the terms of WhatsApp, Telegram, Slack, Discord, Signal, Microsoft Teams, and any other connected platforms. The following activities are strictly prohibited:
The Service, including its original content, features, and functionality, is owned by Homard Cloud and is protected by international copyright, trademark, and other intellectual property laws. OpenClaw is an independent open-source project licensed under its own terms. Third-party AI models are owned by their respective providers. Your data and content remain your property; however, you grant us a limited, non-exclusive license to host, process, transmit, and display your content solely for the purpose of providing the Service. You may not use our trademarks, logos, or branding without our prior written consent.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN 'AS-IS' AND 'AS-AVAILABLE' BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND QUIET ENJOYMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOMARD CLOUD, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, BUSINESS OPPORTUNITIES, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH: (A) YOUR USE OF OR INABILITY TO USE THE SERVICE; (B) ANY AI-GENERATED CONTENT OR OUTPUTS; (C) ANY THIRD-PARTY SERVICES, PRODUCTS, OR CONTENT; (D) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA; (E) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (F) ANY DATA BREACH OR SECURITY INCIDENT; OR (G) ANY OTHER MATTER RELATING TO THE SERVICE. IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF (I) THE AMOUNTS PAID BY YOU TO HOMARD CLOUD IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (II) ONE HUNDRED CANADIAN DOLLARS (CAD $100).
We may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including but not limited to breach of these Terms, suspected fraudulent or abusive activity, or upon request from law enforcement. Upon termination: (a) your right to use the Service ceases immediately; (b) we may delete all of your data, including bot configurations, credentials, and conversation logs, without any obligation to provide copies; (c) you remain liable for all fees incurred prior to termination; and (d) all provisions of these Terms that by their nature should survive termination shall remain in effect, including intellectual property rights, warranty disclaimers, limitations of liability, and indemnification obligations. We are under no obligation to maintain or provide your data after termination.
These Terms shall be governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts located in the Province of Quebec, Canada. You hereby waive any objection to such jurisdiction and venue. If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect. These Terms constitute the entire agreement between you and Homard Cloud regarding the Service.
We reserve the right to modify these Terms at any time in our sole discretion. Material changes will be communicated via email or through a prominent notice on the Service at least 30 days before they take effect. However, changes required to comply with applicable law or to address security concerns may take effect immediately. Your continued use of the Service after the revised Terms become effective constitutes your acceptance of the updated terms. If you do not agree to the revised Terms, you must stop using the Service.
